On 31 March 2026, Aero I Global & International, a legal person closely associated with Mr. Andrea Mangoni and Mrs. Elisabetta De Bernardi Di Valserra, directors of Getlink SE and persons discharging managerial responsibilities in Mundys S.p.A., parent company of Aero I Global & International, entered into two total return swap agreements (“TRS”) comprised of two tranches with two separate investment services providers, under which Aero I Global & International could acquire, subject to certain conditions, a maximum volume of 39,251,057 Getlink SE shares under a TRS and of 13,083,685 Getlink SE shares under the other TRS, for a total of 52,334,742 Getlink SE shares representing a maximum of 9.52% of the share capital of Getlink SE. The two TRS are comprised of two tranches as follows: -under the first tranche of the TRS, the delivery of the underlying 19,305,000 Getlink SE shares to Aero I Global & International will occur automatically, after transfer into the bearer form of 30,500,000 Getlink SE shares (instruction sent on 31 March 2026); and -under the second tranche of the TRS, Aero I Global & International will have the right to acquire at its discretion up to a maximum number of 33,029,742 Getlink SE shares, subject to obtaining the required authorization from the British authorities under the National Security and Investment Act 2021. The prices indicated in the present declaration refers to the first tranche of the TRS.
